1. Introduction & Acceptance
These Terms of Service ("Terms") govern your access to and use of Daullja's services, website, and platform (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.
Key Points: - These Terms constitute a legally binding agreement - You must be 18+ or have parental consent - By using our Services, you accept these Terms - We may update these Terms; continued use means acceptance
Definitions: - "We", "us", "our" refers to Daullja and its affiliates - "You", "your" refers to the individual or entity using our Services - "Client" refers to businesses engaging our development services - "Developer" refers to technical professionals in our talent network
2. Services Description
Daullja provides software development services, technical talent augmentation, and related consulting services.
Our Services Include: - Staff augmentation and team extension services - Full-cycle software development projects - Technical consulting and architecture design - DevOps, cloud infrastructure, and data engineering - Mobile and web application development - AI/ML integration and implementation
Service Delivery: - Services are provided by our network of vetted developers - Work is performed remotely unless otherwise agreed - We maintain oversight and quality control - Dedicated account management for all clients
Not Included: - Physical hardware procurement - Non-technical business consulting - Legal or financial advice - Services outside our technical expertise
3. Client Responsibilities
When engaging our Services, you agree to:
Project Requirements: - Provide clear, accurate project requirements and specifications - Respond to questions and feedback in a timely manner - Designate a primary point of contact - Provide necessary access to systems, tools, and documentation
Payment Obligations: - Pay all fees according to agreed terms - Cover any third-party costs you authorize (cloud services, licenses) - Maintain valid payment method on file - Notify us immediately of billing issues
Conduct & Cooperation: - Treat our developers and staff professionally and respectfully - Not solicit or hire our developers directly during and for 12 months after engagement - Comply with all applicable laws and regulations - Not use Services for illegal or prohibited purposes
Confidentiality: - Protect our business information and trade secrets - Not share developer contact information outside your organization - Respect intellectual property rights
4. Intellectual Property Rights
Client-Owned Work Product: - Upon full payment, you own all custom code and deliverables created specifically for your project - Ownership transfers upon completion of payment obligations - You receive all rights, title, and interest in project-specific deliverables
Daullja Retains Rights To: - Pre-existing code, libraries, and frameworks - General development methodologies and processes - Tools, templates, and reusable components - Company branding, marketing materials, and documentation
Third-Party Components: - Open-source software governed by respective licenses - Third-party APIs and services subject to their terms - Cloud platforms and infrastructure services
Developer Portfolio Rights: - We may showcase project work in portfolios (with your approval) - General case studies (anonymized unless you consent) - You may request confidentiality for sensitive projects
5. Fees, Payment & Refunds
Pricing Structure: - Hourly rates based on developer experience level - Monthly retainers for dedicated teams - Fixed-price for defined scope projects - All fees in USD unless otherwise specified
Payment Terms: - Invoices issued monthly or per agreed schedule - Payment due within 15 days of invoice date - Late payments subject to 1.5% monthly interest - Continued service requires current payment status
Refund Policy: - 2-week trial period for new engagements - Refunds available for unused prepaid hours - No refunds for completed work or after acceptance - Disputes resolved through good-faith negotiation
Additional Costs: - Third-party services billed at cost (no markup) - Travel expenses (if applicable) with prior approval - Emergency/after-hours support (if requested) - Currency conversion fees (if applicable)
6. Warranties & Disclaimers
Our Warranties: - Developers possess represented skills and experience - Services performed in workmanlike manner - Compliance with applicable laws and regulations - Reasonable efforts to meet deadlines and deliverables
Warranty Limitations: - We don't guarantee specific project outcomes or results - Third-party tools/services warranted only per their terms - No warranty for designs, specifications, or requirements you provide - Timeline estimates are in good faith but not guaranteed
DISCLAIMER: EXCEPT AS EXPRESSLY PROVIDED, SERVICES ARE PROVIDED "AS IS". WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of Liability: Our total liability shall not exceed fees paid in the 12 months preceding the claim. We're not liable for indirect, consequential, or punitive damages.
7. Confidentiality
Mutual Non-Disclosure: Both parties agree to protect confidential information received during the engagement.
Confidential Information Includes: - Technical specifications and documentation - Business strategies and financial information - Source code and proprietary algorithms - Customer data and user information - Trade secrets and know-how
Obligations: - Use confidential information only for authorized purposes - Protect with same care as own confidential information - Limit access to those with legitimate need - Return or destroy upon termination
Exceptions: - Information that is publicly available - Independently developed without use of confidential information - Received from third party without confidentiality obligation - Required to be disclosed by law (with notice)
8. Termination
Termination Rights: - Either party may terminate with 30 days written notice - Immediate termination for material breach (after 10-day cure period) - We may suspend services for non-payment
Effect of Termination: - You pay for all work completed through termination date - We deliver all work product completed to date - All confidential information must be returned - Outstanding payment obligations survive termination
Post-Termination: - Confidentiality obligations continue indefinitely - IP rights granted are perpetual (for paid work) - Non-solicitation continues for 12 months - Warranties survive for reasonable period
9. General Terms
Governing Law: These Terms are governed by the laws of Kosovo and applicable international commercial law principles.
Dispute Resolution: - Good-faith negotiation for 30 days - Mediation if negotiation fails - Binding arbitration as final resort - Each party bears own costs unless otherwise awarded
Force Majeure: Neither party liable for delays caused by circumstances beyond reasonable control (natural disasters, war, pandemics, government actions).
Assignment: - You may not assign rights without our consent - We may assign to affiliates or in merger/acquisition - Terms bind successors and assigns
Entire Agreement: These Terms, along with any signed agreements and our Privacy Policy, constitute the entire agreement and supersede prior understandings.
Amendments: We may update these Terms with 30 days notice. Continued use constitutes acceptance.
